1. Agreement
By accessing cleads.ai or using CleadsAI services (“Services”), you agree to these Terms. If you use the Services on behalf of an organization, you represent that you are authorized to accept these Terms for that organization.
2. Services
We provide AI-assisted communication, customer engagement, scheduling, and related tools. Features may change over time. Some features may require a separate order form or sub-account.
3. Your Responsibilities
You will (a) provide accurate information; (b) use the Services only as permitted by law; (c) obtain and document any required consent from your contacts; and (d) promptly honor opt-out requests.
4. Messaging Compliance
You will comply with applicable laws, carrier rules, and industry guidelines (e.g., TCPA, CAN-SPAM). Toll-free SMS/voice: message frequency varies; standard message & data rates may apply; reply STOP to opt out; HELP for help at (888) 375-0120. You must not send unsolicited or unlawful messages.
5. Acceptable Use
You will not: (a) use the Services for spam, harassment, or illegal content; (b) attempt to bypass security or interfere with the Services; (c) transmit malware; or (d) collect or process sensitive data without appropriate safeguards.
6. Accounts & Access
You are responsible for maintaining the confidentiality of your credentials and for activities under your account. Notify us of any unauthorized use.
7. Fees & Payment
If fees apply, you agree to pay the amounts listed in the applicable order, plus taxes. Late or unpaid amounts may result in suspension or termination.
8. Intellectual Property
CleadsAI and its licensors retain all rights to the Services, software, and content. You retain your data and grant us a limited license to process it to provide the Services and as described in the Privacy Policy.
9. Privacy
Our processing of personal information is described in our Privacy Policy. By using the Services, you consent to such processing consistent with applicable law.
10. Confidentiality
Each party will protect the other’s confidential information with reasonable care and use it only as needed to perform under these Terms.
11. Warranties & Disclaimers
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that the Services will be uninterrupted, error-free, or secure.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CLEADSAI WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUE. OUR TOTAL AGGREGATE LIABILITY RELATING TO THE SERVICES IS LIMITED TO THE FEES YOU PAID FOR THE SERVICES IN THE THREE (3) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.
13. Term & Termination
You may stop using the Services at any time. We may suspend or terminate access for material breach, unlawful use, or risk to the Services or others. Upon termination, your right to use the Services ceases.
14. Export & Sanctions
You will comply with export control and sanctions laws that apply to the Services.
15. Governing Law; Venue
These Terms are governed by the laws of the State of Delaware, USA (excluding conflict-of-law rules). Exclusive venue is in the state or federal courts located in Delaware.
16. Changes
We may modify these Terms from time to time. Material changes will be posted. Continued use after changes become effective constitutes acceptance.
